Setting up a company in Poland can be done through two main forms: **Jednoosobowa działalność gospodarcza (FOP)** and **Spółka z ograniczoną odpowiedzialnością (Sp. z o.o.)**.
1. **FOP (Jednoosobowa działalność gospodarcza)**:
- This is the simplest form of business. Registration is free and is carried out through CEIDG (Central Register of Entrepreneurs).
- To register, you need a PESEL number and legal residence in Poland (for example, a residence card or UKR status for Ukrainian citizens).
- Taxation can be chosen in the form of a fixed percentage of income or profit tax【4:10†source】【4:19†source】.
2. **Sp. z o.o. (Limited Liability Company)**:
- This is a more complex form that limits the personal liability of the founders. The minimum share capital is 5,000 zlotys.
- Registration can be done online through the S24 system or through a notary. The registration period usually takes 1-2 weeks【4:0†source】【4:11†source】.
- Taxes: 9% or 19% on profit, as well as 19% on dividends【4:0†source】【4:11†source】.
