To open a firm in Poland, you need to go through several steps. Here are the main stages:
1. **Choosing a business form**: You can register as a sole proprietorship (SP, or Jednoosobowa działalność gospodarcza) or create a limited liability company (Spółka z o.o.). SP is simpler and faster to register, but Sp. z o.o. has the advantage of limiting personal liability.
2. **Registration**:
- For SP, registration is free and is carried out through CEIDG (online or at the municipal office). You need a PESEL (identification number).
- For Sp. z o.o., you can register the company online through the S24 system or through a notary. The minimum share capital is 5000 zlotys【4:0†source】【4:1†source】.
3. **Preparing documents**: You will need a company name, address, PKD codes (main types of activity), a statute, and information about the management board.
4. **Obtaining tax numbers**: After registration, you will need to obtain an NIP number (tax identification number) and, if you plan to work with clients from the EU, apply for a VAT-UE【4:12†source】【4:11†source】.
5. **Opening a bank account**: You will need to open a bank account to pay in the share capital and conduct business.
6. **Registration in CRBR**: Within 7 days after registration, you must register the beneficiaries in the Central Register of Beneficial Owners (CRBR)【4:1†source】.
